Terms of Service

1.Acceptance of these terms

These Terms of Service (the “Terms”) are an agreement between you and SportzPRED, Inc., a Maryland corporation (“SportzPRED”, “we”, “us”), and they govern your use of the SportzPRED website, tools and application programming interfaces (together, the “Service”).

By accessing or using the Service you agree to be bound by these Terms, by our Privacy Policy and, once you hold credits, by our Payment & Refund Policy — which forms part of these Terms. If you do not agree, do not use the Service.

Creating an account requires accepting these documents, and we record which version you accepted and when. Where you use the Service without an account — the public pages — these Terms still govern that use.

2.What the Service is

SportzPRED is a statistical modelling and simulation tool for basketball. You describe a scenario — a matchup, a player, minutes, a lineup, a defensive assignment — and the Service runs Monte-Carlo simulations and returns a distribution of possible outcomes together with derived figures such as projected spreads, totals, win probabilities, prop distributions and over/under comparisons.

The Service is an analytical instrument. It is not a sportsbook, a broker, an exchange or a tipping service. We do not accept wagers, hold funds, place bets on your behalf, or process gambling transactions of any kind.

3.No betting, investment or professional advice

The Service displays betting-market vocabulary — lines, American odds, break-even probabilities and labels such as “no bet”, “small lean” and “playable edge”. These are descriptions of how a model output compares with a number you entered. They are convenience labels applied by fixed numeric thresholds. They do not account for your bankroll, your risk tolerance, market movement, injury news, or anything else about your circumstances.

You are solely responsible for any decision you make and for any consequence of it, financial or otherwise. If you gamble, please read our Responsible Use page first.

4.Accuracy, availability and “as is”

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement, to the fullest extent permitted by law.

Specifically, and without limiting the above, we do not warrant that:

• any projection, probability or simulated outcome will prove correct;
• underlying data — schedules, rosters, depth charts, minutes, game logs and ratings — is complete, current or free of error, including where it is supplied by third parties;
• model outputs are calibrated for any particular player, matchup, sample size or edge case, or that historical accuracy will continue;
• the Service will be uninterrupted, timely, secure or error-free.

Models, features, artifacts and outputs may change without notice as they are retrained or corrected. The same inputs may therefore produce different numbers at different times.

5.Eligibility

You must be at least 18 years old to use the Service. Where the law of your jurisdiction sets a higher minimum age for activities related to sports wagering, you must meet that higher age before using the Service in connection with such activity.

Gambling laws differ substantially between countries, states and provinces, and some prohibit it outright. You are responsible for knowing and complying with the laws that apply to you. Access to the Service is not an offer or invitation to gamble anywhere it would be unlawful.

6.Acceptable use

Each prediction consumes real computation on our infrastructure. To keep the Service available for everyone, you agree not to:

• access the Service by any automated means — scraping, crawling, scripted clients or bulk querying — except with our prior written permission;
• circumvent, disable or interfere with rate limits, queues, caching, security features or access controls;
• resell, sublicense, redistribute or commercially exploit the Service or its outputs, including republishing projections as a feed or a paid tipping product, without our prior written permission;
• reverse engineer, decompile or attempt to extract model weights, artifacts, source code or training data, or use outputs to train or fine-tune a competing model;
• misrepresent the Service's outputs — for example by presenting a projection as a guaranteed result, or attributing to us a claim we have not made;
• use the Service unlawfully, or in a way that harms, overburdens or impairs it or any other user.

Your account and your credentials

An account is personal to one person. You agree to keep your password confidential, to be responsible for everything done through your account, and to tell us promptly at support@sportzpred.com if you believe someone else has access to it. You agree not to:

• share, sell, lend or transfer your account or your credentials, or let anyone else run predictions on your credits;
• hold more than one account at a time, or create a further account to obtain free credits again, to evade a suspension, or to defeat a limit;
• register with an email address you are not entitled to use.

We may suspend or terminate access that we reasonably believe breaches this clause, without notice.

Rate limits

We apply rate limits to the Service, and they are a normal part of how it runs rather than a penalty. A request beyond a limit is refused with a “too many requests” response and succeeds when you try again shortly afterwards. Repeated failed sign-in attempts or invalid credentials from the same network address are blocked for a short period, which is what makes guessing a password pointless.

The ceilings are set to sit well above ordinary use — including a page that polls for a running prediction — and we may change them at any time to keep the Service available. Being rate limited does not consume a credit, and a request refused this way is not a delivered prediction. Deliberately working around a limit, including by rotating addresses or accounts, is a breach of this clause.

7.Credits, payment and refunds

Access to the models is metered in credits. Running any model costs one credit. New accounts receive a number of free credits; further credits may be purchased in packs once payments are available.

A credit is a prepaid unit of access to this Service and nothing more. It is not money: it has no cash value, is not a deposit or stored-value instrument, is not transferable between accounts, and cannot be exchanged for cash except as a refund of a purchase under the policy below.

A credit is deducted when a completed prediction is delivered to you, not when you request one. A model run that fails, or that you abandon before it returns, is not charged. Follow-up questions against a simulation you have already run — changing a line, a minute total or a prop — do not cost an additional credit.

Because the charge is taken on delivery rather than on request, starting several runs at once can take your balance slightly below zero — the runs were already computed and the results already sent, so we record what is owed rather than withhold an answer you have received. A negative balance is settled automatically against the credits you next receive or buy; we will not invoice you for it, and no further run will start until the balance is back above the cost of a run.

Prices, the cases in which a purchase can be refunded, and the cases in which it cannot, are set out in full in our Payment & Refund Policy, which forms part of these Terms. You can ask for a refund from the purchase itself in your billing history, or by email; both routes are described there. Where these Terms and that policy disagree about payment or refunds, that policy governs.

Prices may change, including without a new release of the site. The price shown to you on the confirmation screen is the price you are charged, a change never re-prices a purchase already made, and credits you already hold are unaffected.

We may correct your balance where it is wrong: adding credits that a fault or an administrative error cost you, and removing credits granted by mistake, granted against a payment that was later reversed or refunded, or obtained in breach of clause 6. We do not otherwise take credits back. Every such correction is recorded against your account with the reason for it, and appears in your history like any other movement.

8.Intellectual property

The Service — including its models, artifacts, feature engineering, calibration, software, interface, design and text — is owned by SportzPRED, Inc. or its licensors and is protected by intellectual property law. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own non-commercial purposes, and nothing more.

Your inputs and your outputs

You keep whatever rights you have in the scenario inputs you enter. You may use the outputs you generate for your own personal, non-commercial purposes, including sharing an individual result. Systematic extraction or redistribution of outputs is covered by clause 6 above.

9.Third-party data, trademarks and no affiliation

Team names, player names, league names and logos are the trademarks of their respective owners and are used here for identification and descriptive purposes only.

The Service incorporates statistical data obtained from third-party providers and public sources. That data is supplied to us as-is; we do not control it and are not responsible for its accuracy, completeness or availability. Where a provider's terms impose restrictions on downstream use, those restrictions flow through to you.

10.Changes to the Service

We may add, change, suspend or discontinue any part of the Service — including individual models, features, endpoints and data coverage — at any time and without notice. We are not liable to you or anyone else for doing so. Nothing in these Terms obliges us to maintain any particular model, level of accuracy, or level of availability.

11.Termination

You may stop using the Service at any time, and you may close your account by writing to privacy@sportzpred.com. We may suspend or terminate your access at any time, with or without cause and with or without notice, including where we reasonably believe you have breached these Terms or where continued access would create legal risk. A suspension ends your session and stops you signing in or renewing access; a sign-in already in progress may continue to work for up to an hour until it expires of its own accord.

What happens to your credits on closure — including which unused credits can be refunded and which are forfeited — is set out in the Payment & Refund Policy. Where we terminate your access for a breach of clause 6, unused credits are forfeited.

Clauses that by their nature should survive termination survive it, including clause 4 (“as is”), clause 8 (intellectual property), clause 12 (assumption of risk), clause 13 (limitation of liability), clause 14 (indemnity) and clause 15 (governing law), together with any amount you owe us at the time.

12.Assumption of risk

You acknowledge that sports outcomes are inherently uncertain, that statistical models are approximations which are wrong some of the time by construction, and that any activity undertaken in reliance on a model output — including gambling — carries a genuine risk of financial loss. You accept that risk entirely. You agree not to bring any claim against us arising from a wager, a loss, a missed opportunity, or any other decision you made in reliance on the Service.

13.Limitation of liability

To the fullest extent permitted by applicable law, SportzPRED, Inc. and its officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or gambling losses of any kind, arising out of or in connection with your use of or inability to use the Service — whether the claim is framed in contract, tort (including negligence), strict liability or otherwise, and even if we have been advised that such damages are possible.

To the fullest extent permitted by applicable law, our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the total amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars (US$100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply only to the extent permitted, and nothing in these Terms limits liability that cannot lawfully be limited.

14.Indemnity

You agree to indemnify and hold harmless SportzPRED, Inc. and its officers, employees, contractors and suppliers from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any law or of the rights of a third party.

15.Governing law and disputes

These Terms are governed by the laws of Maryland, United States, without regard to its conflict-of-laws rules. You and we agree to submit to the exclusive jurisdiction of the courts of Maryland, United States for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

16.Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Each version carries an identifier, and the version you accepted when you created your account is recorded against it.

For a change that materially affects your rights or obligations we will ask you to accept the new version rather than treat your continued use as agreement, and we will give you at least 14 days' notice by email or in the Service before it takes effect. If you do not accept a material change, you may close your account under clause 11, and any unused credits you purchased will be refunded to you in full regardless of the 14-day window in the Payment & Refund Policy. For changes that do not materially affect you — clarifications, corrections, new model names — continuing to use the Service after the revised date means you accept them.

17.General

These Terms, together with the Privacy Policy and the Payment & Refund Policy (each incorporated into these Terms by reference), are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the rest remains in force and the unenforceable provision is modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
